VML Kids operates within a clearly defined three-tier governance structure. Day-to-day operational responsibility sits with VML Kids management. Group level oversight and compliance accountability sits with VML Group. Ultimate stewardship — the cultural, ethical and governance umbrella under which everything operates — sits with Teravoxus Holdings Limited.
Sitting entirely outside and independent of all three tiers is the Independent Safeguarding Executive Audit, Advisory and Training Board. This body trains, audits and guides every level of the structure. It cannot be directed by any of them, and it has direct authority to refer concerns to statutory authorities without requiring approval from any tier of management.

VML Kids
Day-to-day operational responsibility sits here. The VML Kids Chief Executive Officer leads the operational structure with direct accountability for platform delivery, staff, safeguarding performance and regulatory compliance. Two roles carry elevated authority within this tier due to their specialist responsibilities — the Compliance Director and the Safeguarding Executive Director. Both sit on the VML Kids Board but operate with authority that cuts across normal reporting lines within their specialist domains.
Below board level, the Management Team handles day-to-day operations. The Safeguarding Team operates at the critical interface between platform operation and child protection. The Human Oversight Team provides the human review layer for flagged content and concerns. The Moderation Teams provide the first line of content monitoring.
Section 2The Independent Safeguarding Executive Audit, Advisory and Training Board
Independent Safeguarding Executive Audit, Advisory and Training Board
This body sits entirely outside the three-tier management structure. It is independent of Teravoxus Holdings Limited, VML Group and VML Kids management. It cannot be directed, pressured or overruled by any of them.
Its role is threefold — it provides guidance to every level of the operational structure, it delivers training across all tiers, and it conducts audit of the platform's safeguarding performance and governance. The green arrows in the diagram represent this flow of guidance, training and audit downward and across into every level of the operational structure.
Critically, the Independent Board has direct authority to refer concerns to statutory authorities — police, social services, CEOP and others — without requiring approval from any tier of management. This is the architectural guarantee that safeguarding decisions cannot be blocked, delayed or redirected by commercial or managerial pressure.
Section 3External Statutory Authorities
The platform's safeguarding architecture connects directly to external statutory authorities — the Police, Social Services, CEOP and other relevant bodies — at the Safeguarding Team level. This connection is represented by the red escalation arrow in the diagram.
Escalation to statutory authorities follows the standard escalation pathway set out in the Staff Declaration and Operational Safeguarding Framework (VML-KIDS-SDF-006). For Critical Alert categories, escalation is immediate and bypasses the standard review pathway. The Independent Safeguarding Board may also refer directly to statutory authorities at any time and at any tier, independently of the standard pathway.
